1. Who We Are

MindWand ("we", "us", "our" or the "Company") is an AI education platform. We provide learning materials and related services through our website and applications (collectively, the "Service").

2. Agreement Overview

By using MindWand you agree to these Terms and Conditions (the "Terms"). Our Privacy Policy and Subscription Terms are incorporated by reference and form part of this agreement.

Any translation of these Terms from the English version is provided for convenience only. The English version prevails in the event of any discrepancy.

3. Eligibility

To use MindWand, you must be at least 16 years old and have the legal capacity to enter into a binding agreement. If you are under 18, you need your parent or guardian's permission. If you do not agree to these Terms or you are not eligible, please do not use the Service.

4. What We Offer

MindWand provides educational content about artificial intelligence, including lessons, reading materials, exercises, and interactive features (collectively, "Digital Content"). Please read the disclaimers in Section 14 carefully.

Access to Digital Content requires registration and payment for an introductory trial or subscription plan, depending on what you select at the time of purchase. After purchase, you may be offered additional paid features — please read any such offers carefully before accepting.

5. AI Features

Our Service may include AI-powered features for educational purposes. When using these features, you may provide information ("Input") and receive generated responses ("Output"). You own your Input and we assign you all rights permitted by law in the Output. We may use such content to improve our services; you may opt out by contacting us.

Due to the nature of AI, outputs may not be unique across users. Similar inputs from different users may produce similar responses. Responses generated for other users are not considered your content.

6. Subscription Plans

Depending on your selection at the time of purchase, we may offer:

  • Introductory offer: A short-term trial with limited access. Automatically converts to a paid subscription if not cancelled at least 24 hours before it ends.
  • Subscription plan: Ongoing access for a specified period (1 week, 4 weeks, 12 weeks, or as otherwise shown at purchase). Renews automatically each period. Cancel any time at least 24 hours before the next billing date.
  • Additional paid features: Optional add-ons offered on a subscription or one-time basis.

7. Billing & Cancellation

We bill through Stripe and other payment providers. Your payment method will be charged according to your subscription plan.

Auto-renewal: Your subscription renews automatically at the end of each billing period at the same rate, unless you cancel beforehand or we notify you of a price change. To cancel, go to Account Settings and select "Cancel Subscription" at least 24 hours before your next billing date.

Refunds: Please refer to our Subscription Terms to see whether you are eligible for a refund. MindWand may also issue refunds at its discretion.

If a payment fails, we reserve the right to retry billing or suspend your account until payment is settled.

8. Data Protection

We collect, store, and process your data in accordance with our Privacy Policy. By using the Service you agree to the collection and use of your information as described therein.

9. Intellectual Property

All content, materials, logos, graphics, software, and compilations available through the Service are the property of MindWand or third-party licensors. You are granted a non-exclusive, non-transferable licence to use the Service for personal, non-commercial purposes only.

Your account information ("User Content") belongs to you. However, you agree that we may retain copies and use User Content as necessary to operate the Service.

10. Third-Party Links

The Service may contain links to third-party websites. We are not responsible for the content, policies, or practices of any third-party sites. Use them at your own risk.

11. Compliance

The Service is operated in accordance with applicable law. If you access the Service from a jurisdiction other than where we operate, you are responsible for complying with all local laws applicable to your use.

13. User Conduct & Restrictions

By using the Service, you agree not to:

  • Systematically scrape or collect data from the Service without written permission
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Use the Service to build a competing product or service
  • Circumvent any security or access controls
  • Use the Service for unlawful or unauthorised purposes
  • Send automated queries or unsolicited commercial messages through the Service

14. Disclaimers

All content on the Service is for educational purposes only. It is not intended to substitute for professional advice of any kind.

MindWand makes no guarantees about the results you will achieve from using the Service. Results vary by individual. We disclaim all liability for any loss or damage arising from reliance on content available through the Service.

We do not warrant that the Service will be uninterrupted, error-free, or free of viruses or other harmful components.

15. Limitation of Liability

To the fullest extent permitted by law:

In no event shall MindWand or its affiliates be liable for any indirect, consequential, incidental, special, or punitive damages arising from your use of or inability to use the Service, even if we have been advised of the possibility of such damages.

Our total aggregate liability to you for any claims arising from use of the Service is limited to the amounts you have actually paid to MindWand in the 12 months preceding the claim.

Some jurisdictions do not allow limitation of incidental or consequential damages, so the above may not apply to you.

15.1 Australian Residents

For Australian residents, the Service is provided with guarantees under the Australian Consumer Law that cannot be excluded. In the event of a major failure you are entitled to terminate the agreement and receive a refund for the unused portion of the Service.

16. Indemnification

You agree to indemnify and hold harmless MindWand, its officers, directors, employees, and agents from any claims, damages, or costs (including reasonable legal fees) arising from your use of the Service, your User Content, or your violation of these Terms.

17. Dispute Resolution & Arbitration

By agreeing to these Terms, you waive your right to a jury trial and to participate in a class action lawsuit. All disputes must be resolved through binding individual arbitration, except as noted below.

Informal resolution first: Before initiating arbitration, you must send us a written Notice of Dispute including your name, contact details, a description of the dispute, and the relief you are seeking. We will then have 60 days to attempt to resolve the dispute informally.

Small claims: Either party may bring a claim in small claims court for matters within that court's jurisdiction, provided it is brought on an individual basis only.

Arbitration: If informal resolution fails, disputes will be resolved by binding arbitration under the rules of National Arbitration & Mediation (NAM), conducted in English, remotely, by a single arbitrator.

Class action waiver: You and MindWand each waive the right to file or participate in any class action, collective, or representative proceeding.

Opting out: New users may opt out of this Arbitration Agreement within 30 days of first use by emailing legal@mindwand.com with your name, account email, and a clear statement that you wish to opt out.

Governing law: These Terms are governed by the laws of the State of Florida. Any court actions shall be brought in the state or federal courts of Delaware.

EEA, UK, and Swiss consumers retain the right to bring disputes before the competent courts of their country of habitual residence.

18. Miscellaneous

We may update, modify, or discontinue the Service at any time with or without notice. We are not liable for any modification, suspension, or discontinuation of the Service.

19. Changes to These Terms

We may update these Terms from time to time. We will provide at least 30 days' notice of any material changes. Continued use of the Service after the effective date constitutes your acceptance of the updated Terms.

If you receive notice of a material change and do not agree, you may cancel your subscription and cease using the Service within 30 days of the notice.
